Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Apercu website (getapercu.com) and the Apercutext analysis service (the "Service"). Please read them carefully.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Apercu provides an AI-powered text clustering and topic analysis tool. You upload CSV or Excel files containing text data; the Service organizes that text into labeled topic clusters. The clustering logic runs on our servers, and we may use a third-party AI provider solely to generate topic labels or similar AI-generated output. Results can be saved as projects and exported as PDF reports.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

2. Accounts

• You must provide accurate information when creating your account and keep it up to date.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• You must notify us immediately at legal@getapercu.com if you suspect unauthorized access.
• One person may not share a single account. Automated account creation or use of the Service via bots is prohibited.

3. Credits and Payments

a. Credit system

The Service operates on a prepaid credit basis. Credits are consumed when you run a clustering analysis. The number of credits consumed depends on the number of clusters requested and the volume of text processed. A credit estimate is shown before each analysis is run.

b. Purchasing credits

Credits are purchased through Lemon Squeezy, our payment processor. All prices are listed in US dollars and are inclusive of any applicable taxes unless stated otherwise. We reserve the right to change pricing at any time; price changes do not affect credits already purchased.

c. Refunds

Credit purchases are generally final and non-refundable. We may, at our sole discretion, issue a refund in exceptional circumstances (for example, a verified technical failure on our end that prevented the Service from functioning). Refund requests must be submitted to legal@getapercu.com within 7 days of the purchase. Credits have no cash value and cannot be transferred, exchanged, or redeemed for money. Unused credits do not expire as long as your account remains active.

d. Free credits & trials

We may offer free credits at signup or through promotions at our sole discretion. Promotional credits may be subject to the specific terms, eligibility rules, or expiration terms disclosed with the applicable offer.

4. Your Content

a. Ownership

You retain full ownership of all text data and files you upload to the Service ("Your Content"). We claim no intellectual property rights over Your Content.

b. License to process

By uploading content, you grant Apercu a limited, non-exclusive, royalty-free license to process Your Content solely as necessary to provide the Service to you. This includes using a third-party AI provider solely to generate topic labels or similar AI-generated output based on your submitted content.

c. No training use

We will never use Your Content to train, fine-tune, or improve any AI model operated by Apercu or any third party.

d. Your responsibility

You represent and warrant that you have all necessary rights to upload Your Content and that Your Content does not violate any law, infringe any third-party rights, or contain malicious code. You are solely responsible for providing any notices and obtaining any consents, permissions, or other legal authority required for your use of the Service and for the data you submit.

5. Acceptable Use

You agree not to use the Service to:

• Upload content that is illegal, hateful, harassing, or violates third-party rights.
• Upload highly sensitive, regulated, or confidential data unless you have all necessary rights and accept responsibility for doing so.
• Attempt to probe, scan, or test the vulnerability of the Service.
• Circumvent or disable any security or rate-limiting features.
• Reverse engineer or attempt to extract source code of the Service.
• Resell or sublicense access to the Service without our written permission.
• Introduce viruses, malware, or any code intended to disrupt or damage the Service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account immediately and without notice if we reasonably believe you have violated this section.

6. Intellectual Property

Apercu, its logo, and all software, designs, and documentation comprising the Service are the exclusive property of Apercu and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or produce accurate results. AI-generated labels, summaries, and related outputs are probabilistic, may be incomplete or incorrect, and are provided for informational purposes only. You are solely responsible for reviewing, validating, and deciding whether to rely on any output from the Service.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Apercu, its affiliates, service providers, and licensors will not be liable for any claim, loss, damage, liability, cost, or expense arising out of or relating to your use of, or inability to use, the Service.

This exclusion applies to, without limitation: loss of data, loss of profits, revenue, customers, goodwill, business opportunities, or expected savings; errors, omissions, or inaccuracies in AI-generated or analytic output; service downtime or interruption; delays; security incidents; unauthorized access; deletion or corruption of data; actions or failures of third-party providers; and any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, whether based in contract, tort, strict liability, statute, or otherwise, even if such damages were foreseeable or Apercu was advised of their possibility.

The Service is provided at your own risk. If, despite the above, Apercu is found liable for any claim related to these Terms or the Service, our total aggregate liability shall not exceed the amount you paid for the specific service, credits, or transaction giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Apercu from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Service, (b) Your Content, (c) your failure to obtain required rights, permissions, notices, or consents for data you submit, or (d) your violation of these Terms or any applicable law.

10. Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your account at our discretion if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Any unused credits are forfeited and non-refundable. Sections that by their nature should survive termination — including those governing Your Content, Disclaimers, Liability, Indemnification, and General provisions — will survive.

11. Changes to These Terms

We may update these Terms from time to time. Changes take effect when we post the updated Terms with a new effective date at this URL. Continued use of the Service after that date constitutes your acceptance of the updated Terms.

12. General

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apercu regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
